ETIO USER AGREEMENT

1. ACCEPTANCE OF TERMS
By accessing or using Etio at app.etiofm.com, you agree to be bound by these Terms of Use. If you do not agree, do not use the service.
2. ELIGIBILITY
Etio is intended exclusively for use by licensed healthcare practitioners. By activating a license key, you confirm that you are a licensed healthcare professional (including but not limited to MD, DO, DC, ND, NP, PA, RN, RD, LAc, or PT) holding an active license issued by a US state licensing board or equivalent international governing body. You agree to use Etio solely within the scope of your professional license and applicable laws. License keys are issued to individual practitioners and may not be shared with or transferred to other individuals or organizations.
3. CLINICAL DECISION SUPPORT — NOT A DIAGNOSTIC TOOL
Etio is a clinical decision support tool. It is not a diagnostic system, medical device, or substitute for clinical judgment. All output generated by Etio — including mechanism rankings, co-occurrence patterns, clinical flags, lab interpretations, and AI-generated summaries — is intended to support, not replace, the clinical reasoning of a licensed practitioner.
You assume full professional and clinical responsibility for all patient care decisions. Etio's output must be integrated with a complete patient history, physical examination, and clinical judgment before any clinical action is taken. No output from Etio should be communicated to patients as a diagnosis.
4. NO PATIENT IDENTIFYING INFORMATION
You agree not to enter any patient-identifying information into Etio, including but not limited to patient names, dates of birth, addresses, Social Security numbers, or any other information that could identify a specific individual. Etio is designed for anonymous clinical data entry only.
5. LICENSE AND SUBSCRIPTION
Access to Etio requires a valid license key associated with an active subscription. License keys are issued per subscription tier (Solo, Practice, Enterprise) and are subject to the device and usage limits of each tier. License keys are issued to individual practitioners and may not be shared, transferred, or resold. Parmelia LLC reserves the right to suspend or terminate access for violation of these terms.
All subscription fees are non-refundable except as required by applicable law. Cancellation takes effect at the end of the current billing period, and access remains available through the end of that period.
6. DATA RETENTION AND EXPORT
Your saved cases are stored securely in the cloud and linked to your license key. Retention periods vary by subscription tier: Solo plans retain cases for 90 days, Practice plans for one year, and Enterprise plans with no time limit.
You may export your case data at any time through the account portal at app.etiofm.com/account.html. Upon termination or expiration of your subscription, your case data will be retained for 30 days during which you may export it, after which it will be permanently deleted. You are responsible for exporting any data you wish to retain prior to termination.
7. ACCEPTABLE USE
You agree not to:
- Use Etio for any purpose other than clinical decision support within your licensed scope of practice
- Attempt to reverse engineer, copy, or reproduce any portion of the Etio system, scoring methodology, or clinical content
- Share your license key with other practitioners or organizations
- Enter patient-identifying information into the system
- Use Etio in any manner that violates applicable law or professional ethical standards
8. INTELLECTUAL PROPERTY
All content, clinical content, mechanism descriptions, co-occurrence patterns, scoring methodology, and software comprising Etio are the intellectual property of Parmelia LLC. Nothing in these Terms grants you any ownership interest in the Etio system or its content.
9. AI-GENERATED CONTENT
Etio uses artificial intelligence to generate clinical notes, patient summaries, and referral letters. This content is generated based on data you enter and is provided for documentation assistance only. Parmelia LLC makes no representations or warranties regarding the accuracy, completeness, or clinical appropriateness of any AI-generated content. All AI output is experimental in nature and must be independently verified and approved by a licensed practitioner before use in clinical practice or communication. You are solely responsible for reviewing, editing, and approving any AI-generated content.
10. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Parmelia LLC shall not be liable for any clinical outcome, patient harm, professional liability, or consequential damages arising from your use of Etio. The service is provided "as is" without warranty of any kind. Your use of Etio is entirely at your own professional risk.
11. INDEMNIFICATION
You agree to indemnify and hold harmless Parmelia LLC, its officers, and employees from any claims, damages, or expenses arising from your use of Etio, your violation of these Terms, or your clinical decisions made in connection with Etio output.
12. FORCE MAJEURE
Parmelia LLC shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to third-party API unavailability, internet outages, infrastructure failures, or acts of God.
13. MODIFICATIONS
We reserve the right to modify these Terms at any time. Notice of material changes will be provided via email to the address associated with your license key at least 14 days prior to taking effect. Continued use of Etio after that date constitutes acceptance of the updated Terms.
14. DISPUTE RESOLUTION
Any dispute arising from or relating to these Terms or your use of Etio shall be resolved by binding arbitration in Vermont under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.
15. GOVERNING LAW
These Terms are governed by the laws of the State of Vermont, without regard to conflict of law principles.
